1. Sponsor
This promotion is sponsored by Canali S.p.A., with registered offices at Via Lombardia 17/19, 20845 Sovico (MB), Italy (hereinafter "Canali" or "Sponsor").
2. Eligibility
Open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of participation. Employees of Sponsor, its affiliates, subsidiaries, and their immediate family members are not eligible. In the event of a dispute as to eligibility, Sponsor's determination shall be final.
3. Promotion Period
The promotion begins on May 1, 2026 at 12:00:01 AM Eastern Time (ET) and ends on May 15, 2026 at 11:59:59 PM ET (the "Promotion Period"). Sponsor's computer is the official timekeeping device for this promotion.
4. How to Participate
During the Promotion Period, eligible individuals may participate by subscribing to the Canali newsletter via the designated sign-up form available providing the required information (first name, last name, and email address). Individuals who are already subscribed to the Canali newsletter at the commencement of the Promotion Period may also participate by re-submitting the sign-up form during the Promotion Period.
Limit one (1) participation per person. Multiple submissions from the same person will be disregarded.
5. Offer Description
All eligible participants who successfully subscribe to the Canali newsletter during the Promotion Period will receive, via email, a unique invitation code granting access to a Canali private sale event (the "Offer"). Invitation codes are guaranteed to all eligible participants and will not expire or be subject to limited availability.
The Offer consists solely of an invitation and access opportunity to a private sale event and does not constitute a prize, monetary award, or guarantee of product availability or savings. Products available during the private sale are subject to availability at the time of access.
6. Delivery of Offer
Eligible participants will receive the invitation code via email within 15 business days following successful newsletter subscription. Sponsor is not responsible for any delay or failure in email delivery due to circumstances beyond its reasonable control. Participants are responsible for ensuring that their email address is accurate and that their inbox is able to receive emails from Canali.
7. Conditions and Restrictions
The invitation code is personal, non-transferable, and may not be sold, bartered, or exchanged for cash or any other consideration. Any attempt to transfer, sell, or otherwise assign a code will render it void.
Additional terms and conditions may apply to the private sale event itself and will be communicated separately at the time of access.
Sponsor reserves the right to modify, suspend, or terminate the promotion at any time for any reason, including but not limited to fraud, technical failure, or any other cause beyond Sponsor's reasonable control that may compromise the administration, security, or integrity of the promotion.
8. Intellectual Property
All trademarks, logos, trade names, and brand identifiers used in connection with this promotion are the exclusive property of Canali S.p.A. Participation in this promotion does not grant participants any right, title, or license to use Canali's intellectual property.
9. Privacy
Information collected from participants in connection with this promotion is subject to Sponsor's Privacy Policy, available at: http://us.canali.com/privacy. By participating, you acknowledge that you have read and understood Sponsor's Privacy Policy and consent to the collection, use, and processing of your personal data in accordance therewith.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: (I) ANY TECHNICAL FAILURES, NETWORK ISSUES, SERVER DOWNTIME, OR ANY OTHER PROBLEMS AFFECTING PARTICIPATION OR EMAIL DELIVERY; (II) LOST, LATE, INCOMPLETE, ILLEGIBLE, OR MISDIRECTED ENTRIES; OR (III) ANY INJURY, LOSS, OR DAMAGE OF ANY KIND TO PERSONS OR PROPERTY ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THIS PROMOTION OR FROM THE USE OF ANY INVITATION CODE OR PRIVATE SALE ACCESS.
11. Disputes
Except where prohibited by law, any dispute, claim, or cause of action arising out of or in connection with this promotion shall be resolved individually, without resort to any form of class action or class arbitration. All disputes shall be governed exclusively by the laws of the State of New York, without regard to conflict of law principles, and shall be resolved before a court of competent jurisdiction located in New York County, New York.
12. Governing Law
This promotion is governed by the laws of the State of New York, without regard to conflict of law principles.
13. Severability
If any provision of these Terms & Conditions is held to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
